These Terms of Service (“Terms”) govern your access to and use of the Senioridy LLC (“Senioridy”, “we”, “our”, or “the website”) website and any Services, Products, or Applications made available by Senioridy LLC. These Terms apply to all visitors, registered users, Participating Service Providers (PSPs), Facilities, Providers, Advertisers, Affiliates, and any other parties who interact with our platform.

PLEASE READ THESE TERMS CAREFULLY. YOUR ACCESS TO AND USE OF ANY OF THE SERVICES, PRODUCTS, OR APPLICATIONS OFFERED BY SENIORIDY CONSTITUTES YOUR AGREEMENT TO BE BOUND BY THESE TERMS, WHICH ESTABLISHES A CONTRACTUAL RELATIONSHIP BETWEEN YOU AND SENIORIDY. IF YOU DO NOT UNDERSTAND OR ACCEPT THESE PROVISIONS, YOU SHOULD NOT USE THE SERVICES PROVIDED BY SENIORIDY.

 

1. Acceptance of These Terms

By accessing or using the Senioridy website or any of our Services, Products, or Applications, you agree that:

  • You will use the website and Services in accordance with these Terms and any incorporated documents, including the Senioridy Privacy Policy, and in compliance with applicable laws and regulations.

  • These Terms constitute a legally binding agreement and are the equivalent of a signed written contract.

  • You have received, read, understand, and accept these Terms, including the Senioridy Privacy Policy.

  • Where you complete online registration, subscribe to a paid listing, or otherwise check a box or click a button indicating acceptance, such action constitutes your electronic signature and agreement to these Terms and any applicable Listing Agreement terms incorporated herein.

YOUR USE OF THE SENIORIDY WEBSITE AND ITS SERVICES SHALL BE DEEMED TO CONSTITUTE YOUR ACCEPTANCE OF THESE TERMS AND ANY RULES AND REGULATIONS THAT MAY CHANGE FROM TIME TO TIME. You hereby waive any and all defenses based on the electronic form of these Terms and the lack of a handwritten signature by the parties.

YOUR CONTINUED USE OF THE WEBSITE OR SERVICES OFFERED BY SENIORIDY CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS AS THEY NOW EXIST AND AS THEY MAY BE AMENDED FROM TIME TO TIME. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, PLEASE DO NOT ACCESS OR USE THE WEBSITE.

 

2. Modifications to These Terms

From time to time, we may modify our website, Services, and these Terms. We reserve the right to make changes at any time, with changes becoming effective upon posting to the Senioridy website. Where changes are material, we will make reasonable efforts to bring them to your attention, such as by updating the Effective Date or posting a notice on our site. Your continued use of the site or our Services after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to our Terms at any time, you should discontinue access to Senioridy and our Services.

 

3. Access, Age Restrictions, and Personal Information

OUR SERVICES ARE NOT DIRECTED TOWARDS MINORS. NO ONE UNDER THE AGE OF 18 IS PERMITTED TO REGISTER WITH SENIORIDY OR TO USE OUR SERVICES. WE WILL NOT KNOWINGLY COLLECT INFORMATION FROM ANYONE UNDER THE AGE OF 18. IF WE DISCOVER AN ACCOUNT REGISTERED BY A MINOR, WE WILL CLOSE IT IMMEDIATELY AND DELETE ANY ASSOCIATED INFORMATION. REGARDLESS OF AGE, SHOULD SENIORIDY SUSPECT THAT ANY PERSONAL INFORMATION PROVIDED IS INACCURATE OR INCOMPLETE, WE MAY, IN OUR SOLE DISCRETION, TERMINATE YOUR ACCESS TO ALL SENIORIDY SERVICES OR PRODUCTS.

You agree to the collection and use of your personal information as described in our Privacy Policy.

ATTEMPTING TO ACCESS ADMINISTRATION PAGES OR DIRECTLY ACCESS SERVER FILES IS STRICTLY FORBIDDEN. ATTEMPTING TO INJECT CODE INTO THE WEBSITE OR ANY ACTIVITY THAT MAY BE CONSTRUED AS MALICIOUS IS STRICTLY FORBIDDEN.

Your IP address may be blocked from accessing this site if it appears you are attempting to access restricted files or pages. We reserve the right to disallow access to any visitor we believe may be attempting to cause harm to the site. 4. Definitions

The following definitions apply to terms used throughout these Terms:

  • Services – Any services, products, information, or applications provided by Senioridy, including directory listings, advertising placements, and affiliate programs.

  • Senior – An individual who may be experiencing conditions associated with aging, including difficulty with independent living, decreased mobility, memory loss, loss of driving ability, or other physical or mental impairments.

  • Senior Choices – Information regarding housing, senior care, or any products or services which may benefit Seniors.

  • Senior Housing – Housing alternatives for Seniors including but not limited to living at home, independent living, assisted living, memory care, low income, and skilled nursing.

  • Senior Care – The fulfillment of needs particularly appropriate for Seniors.

  • Participating Services Provider (PSP) – Any entity or organization listed on the Senioridy site that provides Services to Seniors, including Facilities and Providers.

  • Facility – A residential senior care community or organization listed on Senioridy, including but not limited to assisted living communities, memory care communities, independent senior living communities, skilled nursing homes, and short-term rehabilitation facilities.

  • Provider – An in-home or community-based senior services organization listed on Senioridy, including but not limited to in-home senior care agencies, hospice care providers, and home health medical providers.

  • Listings – Directory information related to a Facility or Provider displayed on the Senioridy website, including location, amenities, services, photographs, and other pertinent information.

  • Basic Listing – A free directory listing containing foundational information about a Facility or Provider as determined by Senioridy.

  • Premium Listing – A paid directory listing offering enhanced visibility and additional content features beyond those available in a Basic Listing.

  • Content – Any text, images, video, audio, location data, or other material transmitted to or through our website, including information developed by Senioridy, PSPs, or third parties.

  • Referring Agent – A professional or organization, such as a senior placement advisor or care coordinator, who assists Seniors and their families in identifying appropriate senior housing or care options and may be listed on the Senioridy platform. Senioridy does not verify the credentials, qualifications, or affiliations of any Referring Agent.

  • Advertiser – Any company or individual that purchases advertising space or placements on the Senioridy website or platform.

  • Affiliate – Any company or individual participating in the Senioridy affiliate program through which referral fees or commissions may be earned.

  • Social Media – Any social media platform including but not limited to Facebook, X (formerly Twitter), YouTube, Pinterest, Instagram, and LinkedIn.

 

5. Description of Services

Senioridy provides a broad information platform for Seniors, their families, and loved ones, covering Senior Housing, Senior Care, and related products and services. Our goal is to simplify the process of identifying senior services and to help Seniors and their families make informed decisions based on reliable information.

Senioridy provides a broad information and resource platform for Seniors, their families, and loved ones. Our Services may include any products, offerings, programs, or features that Senioridy determines may benefit Seniors or those who care for them, including but not limited to the following:

  • Free Basic Listings for Facilities and Providers.

  • Paid Premium Listings for Facilities and Providers offering enhanced visibility and content features.

  • Premium Listings for Referring Agents, such as senior placement advisors, who assist families in navigating senior care options.

  • Advertising placements for companies and individuals wishing to reach Seniors and their families on the Senioridy platform.

  • Affiliate programs through which third parties may earn referral fees or commissions in connection with senior-related products and services.

  • Informational content, articles, and resources related to senior care, housing, and related topics.

Senioridy reserves the right to introduce, modify, or discontinue any Service at any time without notice. Our core informational services and directory browsing are currently offered at no charge to Seniors, their families, and other website visitors.

 

6. Participating Services Providers

Our Participating Services Providers (PSPs) — including Facilities and Providers — supply information about their senior housing and care offerings. While Senioridy may on occasion set up or edit Listings on behalf of PSPs, we are in no way liable or responsible for inaccurate Content. It is the responsibility of the PSP to review all information about their Services on the Senioridy website and to promptly report any errors.

Senioridy is under no obligation to list any PSP and will in our sole discretion determine which PSPs are listed on our site. We may at any time and without prior notice remove a PSP Listing.

6.1 Suspension and Termination

Senioridy reserves the right to suspend or terminate access to any user, PSP, Facility, Provider, Referring Agent, Advertiser, or Affiliate at any time and in its sole discretion, with or without cause and with or without notice. Reasons for suspension or termination may include, but are not limited to, violation of these Terms, posting inaccurate or misleading Content, non-payment, conduct that Senioridy determines to be harmful to Seniors, families, or the platform, or any other reason Senioridy deems appropriate. Termination of access does not relieve any party of obligations incurred prior to termination, including any outstanding payment obligations.

 

7. Listings – Basic and Premium

7.1 Basic Listings

Basic Listings are provided at no charge to Facilities and Providers and contain foundational directory information as determined by Senioridy. Senioridy reserves the right to create, edit, or remove Basic Listings at any time and in its sole discretion.

7.2 Premium Listings – General

Premium Listings offer enhanced visibility and content features not available in Basic Listings. Premium Listings are available to Facilities (“Facility Premium Listing”) and to in-home or community-based Providers (“Provider Premium Listing”). By subscribing to a Premium Listing — whether through an online sign-up process, a separate written agreement, or by any other method of acceptance — the Facility or Provider agrees to be bound by these Terms, including the Premium Listing terms set forth in this Section 7.

Where a separate Premium Listing Agreement has been or is executed between Senioridy and a Facility or Provider, the terms of that agreement are incorporated herein. In the event of any conflict, the more specific terms of the executed agreement shall control.

7.3 Premium Listing Features

Premium Listing features for Facilities and Providers are as described on the Senioridy website at the time of enrollment and are subject to change. Senioridy reserves the right to add, modify, or remove features at any time.

7.4 Premium Listing Pricing and Term

Premium Listing fees are as set forth in the Senioridy Fee Schedule as published on the Senioridy website from time to time, or as otherwise agreed in writing between Senioridy and the Facility or Provider. Fees are subject to change upon notice to the Facility or Provider, with any changes taking effect at the next renewal term. The initial subscription term is twelve (12) months from the date of acceptance, unless otherwise agreed.

7.5 Payment

Payment for Premium Listings may be made by auto-draft, monthly invoice, or such other method as agreed between Senioridy and the Facility or Provider. The payment method and frequency will be confirmed at the time of enrollment or in any applicable written agreement. Senioridy reserves the right to require a different payment method at any time upon reasonable notice.

7.6 Online Sign-Up and Acknowledgment

Senioridy may offer online enrollment for Premium Listings. By completing the online registration and payment process, the Facility or Provider (a) acknowledges and agrees to these Terms, including all Premium Listing terms in this Section 7, and (b) authorizes recurring monthly charges to the payment method provided, in accordance with the agreed pricing. Online acceptance has the same legal effect as a written signature on a separate agreement.

7.7 Renewal

Premium Listings will automatically renew for successive one-year terms at the then-current pricing unless the Facility or Provider notifies Senioridy that it does not wish to renew at least thirty (30) days prior to the commencement of the next renewal term. Renewal notices should be sent to [email protected] or through the account management portal.

7.8 Cancellation

A Facility or Provider may cancel a Premium Listing subscription by providing written notice to Senioridy at least thirty (30) days prior to the next renewal date. Cancellations will take effect at the end of the then-current subscription term. No refunds will be issued for partial periods unless otherwise agreed in writing by Senioridy.

7.9 Late Payments

For any charges past due by more than thirty (30) days, Senioridy may, in its sole discretion, take the Premium Listing offline until the overdue charges are paid in full. Senioridy reserves the right to pursue any available remedies to collect amounts owed.

7.10 Listing Management and Content Responsibility

Senioridy has designed our platform so that Premium Listings may be self-managed by the Facility or Provider. Facilities and Providers will be provided login credentials and instructions for managing their Listings. Senioridy may assist with Listing setup or updates but is in no way liable or responsible for inaccurate Content posted on any Listing.

By posting Content on their Listing, the Facility or Provider warrants that:

  • They have the right to use all Content posted.

  • The Content is accurate, current, and not misleading.

  • The Content does not infringe any third-party intellectual property, privacy, or other rights.

  • The Content complies with all applicable laws and regulations.

 

8. Referring Agent Listings

Senioridy may offer Premium Listings to Referring Agents — professionals or organizations, such as senior placement advisors and care coordinators, who assist Seniors and their families in identifying appropriate senior housing or care options. There is no recognized licensing or credentialing authority for Referring Agents, and Senioridy does not verify, represent, or warrant the credentials, qualifications, experience, or affiliations of any Referring Agent listed on our platform. Families are encouraged to independently evaluate any Referring Agent before engaging their services.

Referring Agent listing fees, payment terms, and any additional requirements will be as set forth in the Senioridy Fee Schedule or as otherwise agreed in writing between Senioridy and the Referring Agent. Senioridy reserves the right to limit the number of Referring Agent listings in any market and to remove any Referring Agent Listing at its sole discretion.

Additional terms specific to Referring Agent Listings may be published by Senioridy from time to time and will be incorporated into these Terms upon posting.

8.1 Limitation of Liability – Referring Agents

SENIORIDY MAKES NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES REGARDING THE QUALIFICATIONS, RECOMMENDATIONS, ADVICE, OR SERVICES OF ANY REFERRING AGENT LISTED ON OUR PLATFORM. SENIORIDY IS NOT A PARTY TO ANY ARRANGEMENT, AGREEMENT, OR TRANSACTION BETWEEN A REFERRING AGENT AND ANY SENIOR, FAMILY MEMBER, OR OTHER PARTY. SENIORIDY SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY OUTCOME, PLACEMENT DECISION, LOSS, INJURY, OR DAMAGE ARISING FROM OR RELATED TO THE ADVICE, RECOMMENDATIONS, OR ACTIONS OF ANY REFERRING AGENT, WHETHER OR NOT LISTED ON THE SENIORIDY PLATFORM. YOUR USE OF AND RELIANCE ON ANY REFERRING AGENT IS ENTIRELY AT YOUR OWN RISK.

 

9. Advertising and Affiliate Programs

9.1 Advertising

Senioridy may offer advertising placements on our website and platform to Advertisers who wish to reach Seniors and their families. Advertising opportunities may include, but are not limited to, display advertising, sponsored content, featured listings, and other promotional placements. All advertising is subject to separate advertising terms and pricing agreed upon between Senioridy and the Advertiser.

Senioridy reserves the right to accept or reject any advertising in its sole discretion. Advertisers are responsible for ensuring that all advertising content complies with applicable laws and regulations, is accurate and not misleading, and does not infringe any third-party rights. Senioridy disclaims all liability for the content of third-party advertising displayed on our platform.

 

9.2 Affiliate Programs

Senioridy may establish affiliate programs through which Affiliates may earn referral fees or commissions for directing users to Senioridy or to third-party products and services made available through our platform. Participation in any affiliate program is subject to separate affiliate terms agreed upon between Senioridy and the Affiliate. Senioridy disclaims all liability for third-party products or services promoted through our affiliate programs.

Senioridy may also participate as an affiliate of third-party companies, earning commissions or referral fees when users purchase products or services through links on our site. Such relationships will be disclosed in accordance with applicable law.

 

10. No Professional Advice or Endorsement

While Senioridy works to provide accurate and complete information about our PSPs and the Services available on our platform, you agree that information found on our site is not intended to replace advice from a qualified medical, financial, legal, or other professional. Senioridy does not endorse any of the Services, Facilities, Providers, Advertisers, or Affiliates found on or linked from our site.

 

11. Disclaimers and Limitations of Liability

YOU CHOOSE TO USE THIS SITE AND OUR SERVICES AT YOUR SOLE RISK. OUR SERVICES ARE OFFERED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. SENIORIDY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THERE IS NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THEY WILL BE CONTINUOUSLY AVAILABLE ON AN ERROR-FREE BASIS.

SENIORIDY DOES NOT INVESTIGATE OR PERFORM BACKGROUND CHECKS ON PSPs, ADVERTISERS, OR AFFILIATES LISTED OR PROMOTED ON OUR PLATFORM.

YOU AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR ANY CONTENT YOU POST AND ANY INTERACTIONS WITH OTHER MEMBERS, PSPs, ADVERTISERS, OR THIRD PARTIES ON OR THROUGH THE SENIORIDY SITE. YOU SHOULD EXERCISE REASONABLE PRECAUTION IN ANY DEALINGS ARISING FROM YOUR USE OF THE SITE.

SENIORIDY WILL IN NO WAY BE LIABLE FOR ANY RISK ARISING FROM YOUR USE OF OUR SERVICES, INCLUDING CONTENT POSTED, INTERACTIONS WITH MEMBERS, PSPs, OR THIRD PARTIES, OR PURCHASES OF PRODUCTS OR SERVICES FROM THIRD PARTIES. SENIORIDY WILL UNDER NO CIRCUMSTANCES BE HELD LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES.

 

12. Indemnification

You agree to indemnify, release, defend, and hold harmless Senioridy, its officers, directors, owners, employees, and agents from and against any claims, liabilities, and expenses, including without limitation reasonable legal and accounting fees, arising in any way from your use of the Senioridy site. This indemnification specifically includes your access to the site, Content you post, interactions with Members, PSPs, Advertisers, or Affiliates, and any injuries, losses, or damages of any kind connected with use of the Senioridy site or Services.

 

13. Intellectual Property

All content created by Senioridy, including but not limited to text, graphics, logos, page layouts, and software, is the property of Senioridy LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Senioridy’s proprietary content without our express written permission.

PSPs, Advertisers, and Affiliates grant Senioridy a non-exclusive, royalty-free license to display, reproduce, and distribute Content they submit to the platform solely for the purpose of operating and promoting the Senioridy platform and Services.

 

14. Entire Agreement

These Terms, together with the Senioridy Privacy Policy and any executed Listing Agreements, Advertising Agreements, or Affiliate Agreements, constitute the entire and exclusive agreement between you and Senioridy LLC, and supersede and replace any prior agreements, written or oral, regarding the site, Listings, or any other Services. Where you have executed a separate written agreement with Senioridy, that agreement governs to the extent it addresses matters not covered by these Terms; in all other respects, these Terms apply.

 

15. Controlling Law

These Terms shall be interpreted in accordance with the laws of the State of Alabama and the United States of America, without regard to conflict of law principles.

 

16. Dispute Resolution and Arbitration

Any controversy, dispute, or claim arising out of or relating to these Terms or our Services shall be settled by binding arbitration in accordance with the then-applicable rules of the American Arbitration Association. The parties agree that any arbitration decision or award shall be final and binding. Arbitration shall be conducted by a single neutral arbitrator mutually agreed upon by the parties, or if the parties cannot agree, appointed in accordance with AAA rules. All arbitration proceedings shall be held in Jefferson County, Alabama, unless the parties mutually agree to an alternative location or format.

 

CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY LAW, ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU AGREE THAT YOU MAY NOT BRING ANY CLAIM AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

If any legal action is brought by either party regarding the subject matter of these Terms, the prevailing party shall be entitled to recover, in addition to any other relief, reasonable attorney’s fees and expenses.

 

17. Force Majeure

Senioridy shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond Senioridy’s reasonable control, including but not limited to acts of God, natural disasters, pandemic or public health emergencies, war, terrorism, civil unrest, government action, internet or telecommunications outages, third-party service failures, or power failures. In such circumstances, Senioridy’s obligations will be suspended for the duration of the event.

 

18. Privacy and Applicable Privacy Laws

Your use of the Senioridy website and Services is governed by our Privacy Policy, incorporated into these Terms by reference and available at https://senioridy.com/privacy-policy. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

Senioridy serves users across the United States and is committed to complying with applicable privacy laws. If you are a resident of California, you may have additional rights under the California Consumer Privacy Act (CCPA), including the right to know what personal information we collect, the right to request deletion of your information, and the right to opt out of the sale of your personal information. Residents of other states may have additional privacy rights under applicable state law. We will honor verifiable requests consistent with our legal obligations. Please contact us with any privacy-related inquiries.

 

19. General Provisions

Failure by Senioridy to enforce any provision of these Terms shall not be construed as a waiver of any provision or right. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall be enforced to the fullest extent possible. These Terms are binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
